Statement of Issue:
On September 19, 2023, the City Council approved entering into Cooperative Agreement No. C-3-2654, between the City of Huntington Beach and the Orange County Transportation Authority (OCTA) to facilitate the administration, permitting, staffing, and construction of the I-405 Freeway Improvement Project, as well as to provide a mechanism to reimburse the City for expenses incurred as a result of the Project. The current agreement requires an amendment to allow the City to obtain additional reimbursement for pavement damage caused by the project, and to modify the clause extending the deadline to approve an updated Freeway Maintenance Agreement with Caltrans to December 31, 2025.
Financial Impact:
Execution of the amendment will allow the City of Huntington Beach to receive a total reimbursement for pavement impacts of $1,331,000. These funds are in addition to the funds already received for pavement impacts totaling $682,737 in 2019. Funds will be deposited into Fund 125400254.46450.

Analysis:
The City of Huntington Beach, along with other corridor agencies, has been actively working with Orange County Transportation Authority (OCTA) for more than 20 years to pursue improvements to Interstate 405 from the Interstate 605 interchange to the State Route 73 interchange. The initial goal of this effort was to ensure that the corridor provides sufficient capacity and operations to support transportation needs for the next 20 to 30 years. The initial planning and design efforts culminated in the allocation of construction funding and the selection of OC405 Partners in January 2017 to complete the project under a design-build delivery method.
Prior to awarding the design-build contract, OCTA recognized that each of the corridor agencies would be required to provide significant staff resources in support of the project, including:

• Permitting
• Emergency Services
• Inspections
• Public Outreach
• Administration
• Contract Services
• Coordination with OCTA, OC405 Partners, Caltrans, and other corridor agencies
The City of Huntington Beach entered into Cooperative Agreement No. C-3-2654 with OCTA in October 2023 to extend the City’s participation in the administration, permitting, and staffing of the ongoing construction of the I-405 Freeway. The agreement formalizes the City’s participation and roles, as well as its eligibility to receive reimbursement for expenses related to City support services and any additional costs the City may incur due to project construction. Subsequent amendments to that agreement extended the expiration to December 27, 2025.
One element of the reimbursements identified in the Cooperative Agreement is compensation for damage to roadway pavement life due to construction traffic detours. The City has previously received a total of $682,737 for pavement impacts that were estimated in the early stages of the project. This amendment authorizes the payment of an additional $1,331,000 for pavement impacts identified during the post-project evaluation. The agreement continues to allow reimbursement for staff time spent on the project as outlined in Attachment A of the agreement.
OCTA prepared a detailed study that evaluated the actual pavement conditions following construction. Some unanticipated detours occurred during the project and resulted in additional pavement life damage. Public Works staff reviewed the post-project pavement analysis and agrees with the results and the proposed restitution amount identified.
The minor amendment extending the completion deadline for approval of the Freeway Maintenance Agreement with Caltrans resulted from delays in finalizing the agreement between the two parties. The Freeway Maintenance Agreement is expected to be approved in November 2025, which is consistent with the proposed amendment extending the deadline to December 31, 2025.
Environmental Status:
This action is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly.
